1. Our relationship

Welcome to SafeChat (“SafeChat” or “the Platform”), which is provided by SafeChat Inc. in the United States (collectively such entities will be referred to as “SafeChat,” “we,” or “us”).

With your privacy as our first priority, we pledge to maintain your trust and confidence as we build a secure and private social network of integrity to connect all of us with the rest of the world. Our mission is to provide our users with the ability to build a better, more upright world within their own online community.

The Terms of Service (“The Terms”) form an agreement between you and us and set forth the terms and conditions by which you may access and use the Platform and our related websites, services, applications, products, and content (collectively, “The Services”).

Our Services are private, secure, free.

For purposes of these Terms, “you” and “your” means you as user of the Services.

2. Your acceptance

By accessing or using The Services, you acknowledge and agree to these Terms, to SafeChat’s Privacy Policy, which can be found on the Platform and which are incorporated herein as reference. You also agree to comply with them. If you choose to not agree with any of these terms, you may not use the Service.

If you are accessing or using The Services on behalf of a business or entity, then (a) “you” and “your” includes you and that business or entity, (b) you represent and warrant that you are an authorized representative of the business or entity with the authority to bind the entity to these Terms, and that you agree to these Terms on the entity’s behalf, and (c) your business or entity is legally and financially responsible for your access or use of The Services as well as for the access or use of your account by others affiliated with your entity, including any employees, agents, or contractors.

If you are under the age of 18, you may only use The Services with the consent of your parent or legal guardian. Please be sure your parent or legal guardian has reviewed and discussed these Terms with you.

You can accept The Terms by accessing or using our Services. You understand and agree that we will treat your access or use of The Services as acceptance of The Terms from that point onward.

3. Your account & password

To access or use some of our Services, you must create an account with us. Accurate and up-to-date information is required. You are invited to keep such information current and complete.

You are responsible for safeguarding the password that you use to access SafeChat and for any activities or actions under your password. We encourage you to use “strong” passwords (passwords that use a combination of upper and lowercase letters, numbers, and symbols) with your account. SafeChat cannot and will not be liable for any loss or damage arising from your failure to comply with the above.

It is important that you keep your account password confidential and that you do not disclose it to any third party. If you know or suspect that any third party knows your password or has accessed your account, you must promptly notify us at [email protected].

You agree that you are solely responsible (to us and to others) for the activity that occurs at your account.

We reserve the right to disable your user account or certain product features at any time, including if you have failed to comply with any of the provisions of The Terms, or if activities occur on your account which, in our sole discretion, would or might cause damage to or impair The Services or infringe or violate any third party rights, or violate any applicable laws or regulations.

If you no longer want to use The Services, and would like your account deleted, we can take care of this for you. Please contact us via [email protected], and we will assist and guide you through the process. Once you choose to delete your account, you will be able to reactivate it or retrieve any of the content or information you have added.

4. Allowable Content and Acceptable Use

Our service features private sharing on a secure platform, freedom of speech with no censorship unless you violate our Community Standards in public, and a user-friendly interface.

Our chat function features automatically enabled end-to-end encryption for all real-time conversations, password protection availability for every conversation, locating friends and favorite contacts easily by synchronizing your phone book or contact list with no personal contacts stored on our server without your permission, and a quick three-step registration and easy login with username.

At SafeChat our focus is creating a positive and helpful experience for our users. SafeChat must be convenient, safe, and fun for you and your communities. That means there are some rules. You may NOT:

  • Transfer your account to anyone or give anyone else access to your SafeChat account.
  • Use SafeChat if you are prohibited from receiving our service, software, or other products under applicable laws; you’re a convicted sex offender, you’ve had your account previously disabled for violations of any of our policies, or you’re not at least 13 years old.
  • Send unsolicited or unauthorized advertising or commercial communications, such as spam, or link bait.
  • Post, comment, share identical or nearly identical content with individual accounts or in groups, either manually or automatically.
  • Send bulk direct messages or friend requests.
  • Engage in any activity that violates The Terms of service, our Community Standards, or any other policies that apply to your use of SafeChat.
  • Engage in any activity that is fraudulent, misleading, unlawful, or discriminatory.
  • Use automated methods to use the Site or Services.
  • Stalk, harass, bully, intimidate, or harm another user.
  • Post harmful, obscene, or pornographic content.
  • Impersonate any person or entity, or falsely state or otherwise misrepresent yourself or your affiliation with any person or entity, including giving the impression that any content you upload, post, transmit, distribute or otherwise make available emanates from The Services.
  • Post content that is abusive, hateful, threatening, and harmful, incites violence; or contains graphic or gratuitous violence.
  • Post content you do not have the right to transmit.
  • Engage in any activity that infringes on or violates the rights of others like intellectual property rights.
  • Upload viruses or any malicious code or engage in any activity that could overburden, disable, or impair the function or appearance of any of our products.
  • Engage in the access to or collection of data from any of our products using any automated means including spyware, or any other attempt to access data without explicit written permission from SafeChat.
  • Attempt to circumvent any technological measure implemented by SafeChat or any of SafeChat’s providers or any other third party (including another user) to protect the Site or Services.
  • Attempt to decipher, decompile, disassemble, or reverse engineer any of the software used to provide the Site or Services.
  • Advocate, encourage, or assist any third party in doing any of the foregoing.
  • Distribute, license, transfer, or sell, in whole or in part, any of The Services or any derivative works thereof.
  • Market, rent, or lease The Services for a fee or charge.
  • Use The Services, without our express written consent, for any unauthorized purpose. 

5. Rights reserved

At its discretion, SafeChat may permanently cancel accounts of users who violate the Terms of Service. We reserve the right to view Private Groups only for the purposes of fixing issues, to respond to complaints about Terms of Service violations, or when required to do so by law. SafeChat reserves the ongoing right to view Channels, Selective Groups, Open Groups, and any groups in the SafeChat Open Group Directory to assess compliance with the Terms of Service. We reserve the right to remove objectionable content without notice. We can remove any content or information you post on SafeChat if we believe that it violates the Terms of Service.

We may also suspend or terminate your account or cease providing you with all or part of The Services at any time for any or no reason, including, but not limited to, if we reasonably believe you have violated The Terms.

SafeChat reserves the right to ban Channels, Groups, and users that do not comply with its Terms of Service as assessed in SafeChat’s sole discretion and interpretation of its Terms of Service; and Users, Channels, and Groups under investigation or which have been detected as sharing content in violation of these terms may have their visibility limited in various parts of the Platform, including search. Channels, Groups, and users may not be notified when any of this occurs. Banned Channels, Groups, and users may contact SafeChat Customer Support to request more information. We reserve the right to respond or not respond to such requests. Please comply with the rules in SafeChat’s Terms of Service.

While we have the right to monitor activity and content associated with SafeChat, we are not obligated to do so. We do not guarantee the accuracy, integrity, or quality of any content submitted by users. Because community standards vary and individuals sometimes choose not to comply with our policies and practices, you understand that in the process of using SafeChat, you may be exposed to content that you find offensive or objectionable in your communities.

We do not endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of any content or communications posted on SafeChat or endorse any opinions expressed on SafeChat. We may investigate the complaints and violations of our policies that come to our attention and may take any action that we believe is appropriate, including, but not limited to issuing warnings, removing the content, or terminating accounts and/or subscriptions.

We also, however, reserve the right not to take any action. Under no circumstances will we be liable in any way for any content, including, but not limited to any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of, access to, or denial of access to any content on the website.

There are no fees for use of many of the features on SafeChat. However, premium features and subscriptions are available for purchase by SafeChat members for additional services the company may offer.

SafeChat may change the fees and/or benefits associated with premium features from time to time or may immediately suspend or terminate premium features for any or no reason and without advance notice or liability.

When you purchase a premium feature that is paid for by you through recurring payments, you agree that you are authorizing recurring payments, and that such payments and thereby subscription will be made by the method and at the recurring intervals you have agreed to, until the subscription is terminated by you or by SafeChat. You may cancel a subscription at any time before the end of the current billing period and the cancellation will take effect on the next billing period.

If you break any of SafeChat’s Terms in the use of your SafeChat account and/or in the use of its premium features and subscriptions, in addition to other actions we may take, we may cancel any or all of your premium features and subscriptions immediately and no refund will be granted for any payments you have made.

SafeChat uses the services of established third-party vendors for all payments and payment information. SafeChat stores no payment information on its servers and is not liable for any breach of payment information or loss that occurs with the payment vendor.

Due to storage limitations and expenses, SafeChat reserves the right to close and delete any user account that has not been logged into for a period of six months or more.

SafeChat will notify any such users whose accounts it intends to delete, by email or SMS, if they have been inactive for greater than five months and provide those users with a minimum of 30 days notice and options on how to keep their content and account at SafeChat or how to download their content onto their personal computers. SafeChat will give one final notice at least 48 hours prior to deleting an account.

SafeChat reserves the right to transfer ownership and administration of or terminate an Open Group or Channel that has been abandoned by the Channel or Group owner and its appointed Channel or Group administrators.

A Channel or Open Group is considered abandoned if the Channel or Group owner and Channel or Group administrators do not log into SafeChat for at least six months or do not post to the Channel or Group for at least six months. Once the transfer of a Channel or Group ownership and administration is affected by SafeChat, it may be transferred subsequently at any time by SafeChat.

SafeChat products are provided “as is,” and we make no guarantees that they will always be error-free, safe, secure, or function without delays, imperfections, or disruptions. To the extent permitted by law, we also disclaim all warranties, whether implied or expressed, including the implied warranties of title, merchantability, non-infringement, and fitness for a particular purpose.

Our liability shall be limited to the fullest extent permitted by applicable law. Under no circumstance will we be liable to you for any lost revenue, information, opportunities, reputation, profit, goodwill, data, or special, indirect, consequential, exemplary, incidental, or punitive damages arising out of or related to these terms or any SafeChat products, even if we have been advised of the possibility of such damages.

If defective digital content that we have supplied damages a device or digital content belonging to you and this is caused by our failure to use reasonable care and skill, we will either repair the damage or pay you compensation. However, SafeChat will not be liable for damage that you could have avoided by following our advice to apply an update offered to you free of charge or for damages that were caused by you failing to correctly follow installation instructions or to have in place the minimum system requirements advised by SafeChat.

These limitations on our liability to you shall apply whether or not we have been advised of or should have been aware of the possibility of any such losses arising.

You are responsible for any mobile charges that may apply to your use of service, including text-messaging and data charges. If you’re unsure what those charges may be, you should ask your service provided before using the service.

To the fullest extent permitted by law, any dispute you have with any third party arising out of your use of the services, including, by way of example and not limitation, any carrier, copyright owner, or other user, is directly between you and such third party, and you irrevocably release us from any and all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes. 

6. Privacy policy

Your personal privacy and data privacy are very important to us. You are responsible for maintaining the confidentiality of your account information, including your username and password. You are responsible for all activities that occur under your SafeChat account and you agree to notify SafeChat immediately of any unauthorized access or use of your SafeChat account. SafeChat is not responsible or liable for any damage or loss related to any unauthorized access or use of your SafeChat account. 7. Intellectual property rights

We respect intellectual property rights and ask you to do the same. As a condition of your access to and use of the Services, you agree to the terms of the Intellectual Property Policy.

8. SafeChat’s content ownership

As between you and SafeChat, all content, software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music on The Services, and all intellectual property rights related thereto (the “SafeChat Content”), are either owned or licensed by SafeChat, it being understood that you or your licensors will own any User Content you upload or transmit through The Services.

Use of the SafeChat Content or materials on the Services for any purpose not expressly permitted by these Terms is strictly prohibited. Such content may not be downloaded, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed or otherwise exploited for any purpose whatsoever without our or, where applicable, our licensors’ prior written consent. We and our licensors reserve all rights not expressly granted in and to their content.

You acknowledge and agree that we may generate revenues, increase goodwill, or otherwise increase our value from your use of The Services, including, by way of example and not limitation, through the sale of advertising, sponsorships, promotions, usage data … and except as specifically permitted by us in these Terms or in another agreement you enter into with us, you will have no right to share in any such revenue, goodwill or value whatsoever.

You further acknowledge that, except as specifically permitted by us in these Terms or in another agreement you enter into with us, you (i) have no right to receive any income or other consideration from any User Content (defined below) or your use of any musical works, sound recordings, or audiovisual clips made available to you on or through the Services, including in any User Content created by you, and (ii) are prohibited from exercising any rights to monetize or obtain consideration from any User Content within the Services or on any third party service.

Subject to the terms and conditions of the Terms, you are hereby granted a non-exclusive, limited, non-transferable, not sub-licensable, revocable, worldwide license to access and use the Services, including to download the Platform on a permitted device, and to access the SafeChat Content solely in compliance with the Terms. SafeChat reserves all rights not expressly granted herein in The Services and the SafeChat Content. You acknowledge and agree that SafeChat may terminate this license at any time for any reason.

No rights are licensed with respect to sound recordings and musical works embodied therein that are made available from or through The Service.

You acknowledge and agree that when you view content provided by others on The Services, you are doing so at your own risk. The content on The Services is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on our Services.

We make no representations, warranties or guarantees, whether express or implied, that any SafeChat Content (including User Content) is accurate, complete, or up to date. Where The Services contain links to other sites and resources provided by third parties, these links are provided for your information only. We have no control over the contents of those sites or resources. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them. You acknowledge that we have no obligation to pre-screen, monitor, review, or edit any content posted by you and other users on the Services (including User Content).

9. The role of our advertisers

Advertisers pay us to show you ads for their products and services and so we do not charge you to use SafeChat. By using SafeChat, you agree that we can show you ads that we hope will be of some interest to you.

While we hope for a win-win-win situation for all of us, we want to emphasize that since we currently collect a relatively small amount of personal data from each user, vast amounts of your data cannot be stolen or sold to anyone by us.

In addition, we do not share information that directly identifies you, like your name, email address, or other contact information with advertisers unless you give us specific permission to do so.

According to demographics provided by our advertisers, we establish an audience of appropriately matched account holders and expose them to relevant ads. Your experience on SafeChat is designed to be unique but at the same time, similar to other platforms and websites making it especially user friendly for those already accustomed to social media. Since we do not store or even collect that much data about any of our users, we do not personalize your experience by using the data we have about you like your connections, your selected choices and settings, what items you share, and what you do on and off our platform like other platforms.

We believe that SafeChat is attractive to advertisers because we attract many principled users that make excellent customers precisely because they have rejected other platforms that ignore their right to keep their social media data and activity private. However, you can still locate and connect with individuals, businesses, and other organizations of interest to you throughout the SafeChat products you employ.

With your permission to utilize your contact list, we will offer you regular suggestions of new friends, and Channels you might like to join, message, or follow in order to help you build an online community you really care about, but nothing even close to the creepy big brother behavior of other platforms. 

10. SafeChat Content Data

When you use our Services, we process any data you explicitly enter into the site (your “Content Data”), including your full name, email address, profile information, posts, comments, photos, voice recordings, videos, files, emojis, etc. SafeChat uses your Content Data for the sole purpose of serving and providing you with the full experience of SafeChat. You control how we process your Content Data through Privacy & Sharing settings in your account at SafeChat. At any time you can edit/update, retrieve, or delete your Content Data in your account.

11. SafeChat Log Data

When you use The Services, we may receive information (“Log Data”) such as your IP address, browser type, operating system, the referring web page, channels visited, location, your mobile carrier, and device information (including device and application IDs). We receive Log Data when you interact with The Services, for example, when you visit our websites, sign into our Services, interact with our email notifications, use your account to authenticate to a third-party website, or application. We may also receive Log Data when you click on, view, or interact with links on The Services, including links to third-party applications, such as when you choose to install another application through SafeChat. SafeChat uses Log Data to provide, understand, and improve The Services. We either delete Log Data or remove any common account identifiers, such as your username, full IP address, or email address, after a maximum of 12 months.

12. Your Data Portability

At any time you can retrieve your entire Content Data package from SafeChat, using the “Download Your Content” feature in your account. When you select this feature, you will be able to download your Content Data to your personal device and decide how to migrate that data anywhere you choose.

13. SafeChat Secure Chat

SafeChat offers Secure Chat as an option for SafeChat users. SafeChat has no way to decrypt Secure Chat messages of SafeChat users because the messages are end-to-end encrypted and SafeChat does not have any knowledge of their private keys.

14. Indemnity

By accepting these Terms of Service, you agree to indemnify and otherwise hold harmless SafeChat, its officers, employees, agents, subsidiaries, affiliates, and other partners from any direct, indirect, incidental, special, consequential or exemplary damages resulting from i) your use of SafeChat; ii) unauthorized access to or alteration of your communications with or through SafeChat, or iii) any other matter relating to SafeChat.

Any business transactions, which may arise between users from their use of SafeChat are the sole responsibility of the users involved, and we disclaim any and all responsibility for such transactions.

You expressly understand and agree that we shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if we have been advised of the possibility of such damages). Some jurisdictions do not allow the exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you. In no event will our total cumulative liability exceed US$10.00.

15. Amendment to the Terms

SafeChat reserves the right, in our sole discretion to modify these Terms, effective upon the date a revised Terms of Service is posted on the Site with notice to you, the User, of such modification.

Your continued use of the Service constitutes your binding acceptance of the terms and conditions of this Agreement, as they are amended, revised and posted on the Site periodically. We may assign our rights and obligations under these Terms, including in connection with a merger, acquisition, sale of assets or equity, or by operation of law.

17. Entire Agreement

These Terms constitute the whole legal agreement between you and SafeChat and govern your use of The Services and completely replace any prior agreements between you and SafeChat in relation to The Services.

18. No Waiver

Our failure to insist upon or enforce any provision of these Terms shall not be construed as a waiver of any provision or right.

19. Security

We do not guarantee that The Services will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programs and platform to access The Services. You should use your own virus protection software.

20. Severability

If any court of law, having jurisdiction to decide on this matter, rules that any provision of these Terms is invalid, then that provision will be removed from the Terms without affecting the rest of the Terms, and the remaining provisions of the Terms will continue to be valid and enforceable.

21. Applicable law

You agree that the Terms or any dispute or claim arising shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any conflict of laws rules or provisions.

22. Reconciliation, arbitration & class action waiver

Any dispute arising from the interpretation and performance of this agreement shall be first settled by you and SafeChat through friendly negotiations. In the event the parties fail to reach an agreement on the dispute within 60 days after the written request for friendly negotiations delivered by one party to the other parties, the dispute may be subject to be submitted to American Arbitration Association (AAA) for arbitration, which shall be conducted in accordance with such AAA’s arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon all the parties.

You and SafeChat agree that all claims will be brought only in an individual capacity (and not as a class action or other representative proceeding).

Reconciliation process first. You agree that in the event of any dispute between you and SafeChat, you will first contact SafeChat and make a good faith sustained effort to resolve the dispute before resorting to more formal means of resolution, including without limitation any court action.

Arbitration Agreement. After the informal dispute resolution process any remaining dispute, controversy, or claim (collectively, “Claim”) relating in any way to your use of SafeChat’s services and/or products, including the Services, or relating in any way to the communications between you and SafeChat or any other user of The Services, will be finally resolved by binding arbitration.

This mandatory arbitration agreement applies equally to you and SafeChat. However, this arbitration agreement does not (a) govern any Claim by SafeChat for infringement of its intellectual property or access to The Services that is unauthorized or exceeds authorization granted in these Terms or (b) bar you from making use of applicable small claims court procedures in appropriate cases. If you are an individual you may opt out of this arbitration agreement within 30 days of the first of the date you access or use this Services by following the procedure described below.

You agree that the U.S. Federal Arbitration Act governs the interpretation and enforcement of this provision, and that you and SafeChat are each waiving the right to a trial by jury or to participate in a class action. This arbitration provision will survive any termination of these Terms.

If you wish to begin an arbitration proceeding, after following the informal dispute resolution procedure, you must send a letter requesting arbitration and describing your claim to:

The arbitration will be administered by the American Arbitration Association (AAA) under its rules including, if you are an individual, the AAA’s Supplementary Procedures for Consumer-Related Disputes.

If you are not an individual or have used the Services on behalf of an entity, the AAA’s Supplementary Procedures for Consumer-Related Disputes will not be used. The AAA’s rules are available at www.adr.org or by calling 1-800-778-7879.

Payment of all filings, administration and arbitrator fees will be governed by the AAA’s rules. If you are an individual and have not accessed or used the Services on behalf of an entity, we will reimburse those fees for claims where the amount in dispute is less than $10,000, unless the arbitrator determines the claims are frivolous, and we will not seek attorneys’ fees and costs in arbitration unless the arbitrator determines the claims are frivolous.

The arbitrator, and not any federal, state, or local court, will have exclusive authority to resolve any dispute relating to the interpretation, applicability, unconscionability, arbitrability, enforceability, or formation of this arbitration agreement, including any claim that all or any part of this arbitration agreement is void or voidable. However, the preceding sentence will not apply to the “Class Action Waiver” section below.

If you do not want to arbitrate disputes with SafeChat and you are an individual, you may opt out of this arbitration agreement by sending an email to [email protected] within 30 days of the first of the date you access or use The Services.

Class Action Waiver. Any Claim must be brought in the respective party’s individual capacity, and not as a plaintiff or class member in any purported class, collective, representative, multiple plaintiffs, or similar proceeding (“Class Action”). The parties expressly waive any ability to maintain any Class Action in any forum. If the Claim is subject to arbitration, the arbitrator will not have authority to combine or aggregate similar claims or conduct any Class Action nor make an award to any person or entity not a party to the arbitration. Any claim that all or part of this Class Action Waiver is unenforceable, unconscionable, void, or voidable may be determined only by a court of competent jurisdiction and not by an arbitrator. The parties understand that any right to litigate in court, to have a judge or jury decide their case, or to be a party to a class or representative action, is waived, and that any claims must be decided individually, through arbitration.

If this class action waiver is found to be unenforceable, then the entirety of the Arbitration Agreement, if otherwise effective, will be null and void. The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim. If for any reason a claim proceeds in court rather than in arbitration, you and SafeChat each waive any right to a jury trial.

If a counter-notice is received by SafeChat’s copyright agent, we may send a copy of the counter-notice to the original complaining party informing that person that we may replace the removed content or cease disabling it. Unless the original complaining party files an action seeking a court order against the Content Provider, member or user, the removed content may be replaced, or access to it restored, in 10 business days or more after receipt of the counter-notice, at SafeChat’s sole discretion.

Please understand that filing a counter-notification may lead to legal proceedings between You and the complaining party to determine ownership. Be aware that there may be adverse legal consequences in your country if you make a false or bad faith allegation by using this process.

Supplement terms & policies

Channel Policy: These guidelines apply if you create or administer a SafeChat Channel.

SafeChat Platform Policy: These guidelines outline the policies that apply to your use of our Platform for example, for developers or operators of a Platform application or website or if you use social plugins).

Community Payment Terms: These terms apply to payments made on or through SafeChat.

Commerce Policies: These guidelines outline the policies that apply when you offer products and services for sale on SafeChat.

SafeChat Brand Resources: These guidelines outline the policies that apply to use of SafeChat trademarks, logos, and screenshots.

Music Guidelines: These guidelines outline the policies that apply if you post or share content containing music on SafeChat.
